The company name must include the abbreviations LLC or L.L.C., or words “limited liability company.” Avoid words “Bank”, “Trust”, “Assurance” or “Insurance,” and cannot suggest connection with the Government of Belize.

As a matter of local company law, the Belize Limited Liability Company MUST maintain a registered office address within Belize and must also appoint a Belize resident as a registered agent. We would generally provide these services as part of the domiciliary service fee.

Must maintain financial statements to reflect the company’s financial condition. No audit is required.

Not subject to any tax or duty on income or profits. However, it is important to note that the transfer of property located in Belize, including shares in a local company, is subject to stamp duty.

LLCs in Belize are not listed in a public register, and there is no public disclosure of information regarding managers or members. The only document submitted to the Registrar is the Articles of Organization, which does not contain any details about the LLC’s members, managers, or beneficial owners. The registered agent’s information, office address, and company name are the only pieces of information included in the filing.

On the anniversary date of the incorporation.

The latest valid passport copy and recent utility bill for address proof of shareholder/director are required to be submitted at every renewal as a part of enhanced due diligence. If the shareholder is a corporate entity, then the latest certificate of incumbency and above-stated docs of directors would be required.
